These Terms and Conditions (“Terms”) govern your access to and use of the LimaxPay platform, mobile applications, on-device agents, and related services operated by Mobilinear Systems Private Limited (“Mobilinear”, “LimaxPay”, “we”, “us”, or “our”). Please read them carefully. They form a binding legal agreement between you and Mobilinear.

1. Acceptance of Terms

By accessing or using LimaxPay services, you agree to be bound by these Terms and Conditions. If you are entering into these Terms on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to bind it. If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

In these Terms, the following capitalized words have the meanings set out below:

  • Service — the LimaxPay platform, websites, dashboards, APIs, mobile applications, and on-device agents, collectively.
  • Platform — the cloud-based software through which the Service is delivered and managed.
  • Customer — the organization (and its authorized users) that subscribes to and uses the Service.
  • Device — any Android device enrolled with, managed by, or subject to actions through the Service.
  • Subscription — the paid plan under which access to the Service is provided for a defined term.
  • Account — the credentials, workspace, and configuration associated with a Customer's use of the Service.

3. Eligibility

You must be authorized to act on behalf of your organization and legally capable of entering into binding agreements. By accepting these Terms, you represent that you are at least 18 years of age and that the information you provide is accurate and complete.

4. Account Registration

To use the Service, you must register an Account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date.
  • Maintain the security and confidentiality of your Account credentials.
  • Be solely responsible for all activity that occurs under your Account.
  • Notify us immediately of any unauthorized access to or use of your Account.

We are not liable for any loss or damage arising from your failure to safeguard your credentials.

5. Subscription & Licensing

LimaxPay is licensed, not sold. Access is provided on a subscription basis. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes during your Subscription term.

  • Per-device licensing — licensing may be calculated per enrolled Device or per seat, as set out in your order or plan.
  • Subscription renewals — unless cancelled in accordance with these Terms, Subscriptions renew automatically for successive terms.
  • License limits — you may not exceed the Device count, seats, or usage limits associated with your plan.
  • Trial accounts — trial or evaluation access is provided “as is”, may be limited in features, and may be modified or withdrawn at any time.

6. Acceptable Use Policy

You agree not to use the Service to, and not to permit any third party to:

  • Engage in any illegal, fraudulent, or unauthorized activity.
  • Gain or attempt to gain unauthorized access to the Service, other accounts, or connected systems.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
  • Circumvent, disable, or interfere with security or authentication features of the Service.
  • Abuse, overload, disrupt, or impair the Platform or its underlying infrastructure.

7. Device Management & Locking

The Service enables Customers to configure and apply device restrictions, locking, on-screen messaging, and recovery actions on enrolled Devices.

Customers are solely responsible for determining when and how device restrictions, locking, or recovery actions are applied. LimaxPay acts only on instructions and policies configured by the Customer. We do not independently initiate device actions and do not assess the legality, fairness, or appropriateness of any action you configure. You are responsible for ensuring that every action taken through the Service is lawful and consistent with your agreements with end users.

8. Customer Responsibilities

As a Customer, you are responsible for:

  • Obtaining user consent — securing informed consent from device holders for enrollment, monitoring, and enforcement actions.
  • Compliance with local laws — complying with all applicable lending, consumer-protection, telecommunications, and data-protection laws in the jurisdictions where you operate.
  • Device ownership verification — verifying ownership or your lawful right to manage each enrolled Device.
  • Financing agreements — maintaining valid financing or service agreements that authorize the actions you configure.

You agree that LimaxPay is a technology provider and is not a party to your financing, lending, or customer relationships.

9. Data & Privacy

Our collection and use of personal data in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to the practices described there.

10. Payments & Billing

  • Subscription fees — you agree to pay all fees for your plan as set out in your order or invoice.
  • Taxes — fees are exclusive of taxes; you are responsible for all applicable taxes, duties, and levies.
  • Renewal terms — fees for renewal terms are billed in advance at the then-current rates unless otherwise agreed.

Unless otherwise agreed in writing, fees are non-refundable. Failure to pay fees when due may result in suspension or termination of the Service.

11. Service Availability

We strive for high availability but do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service may be temporarily unavailable due to scheduled maintenance, updates, or factors beyond our reasonable control. Where practical, we will provide advance notice of planned downtime.

12. Third-Party Services

The Service may rely on or integrate with third-party services, including but not limited to Firebase and Google services, payment gateways, and email or messaging providers. Your use of those services may be subject to their own terms. We are not responsible for the availability, performance, acts, or omissions of any third-party service, including outages or changes outside our control.

13. Intellectual Property

All software, trademarks, content, data models, algorithms, documentation, and technology comprising the Service remain the exclusive property of Mobilinear Systems and its licensors. These Terms do not grant you any ownership rights. You may not copy, modify, distribute, sublicense, resell, or white-label any part of the Service without our prior written consent.

14. Limitation of Liability

To the maximum extent permitted by law, Mobilinear Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of:

  • Profits or anticipated revenue;
  • Business or business interruption;
  • Data or goodwill;
  • Damages arising from device misuse, locking, or recovery actions configured by the Customer.

Our total aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you to LimaxPay in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Mobilinear Systems, its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your illegal or unauthorized use of the Service;
  • Unauthorized or improper device management, locking, or recovery actions;
  • Your violation of any applicable laws, regulations, or third-party rights.

16. Suspension & Termination

We may suspend or terminate your access to the Service, in whole or in part, if:

  • You fail to pay fees when due (non-payment);
  • You abuse, misuse, or overload the Service;
  • Your use poses a security risk to the Platform or other customers;
  • You breach these Terms or any applicable law.

Upon termination, your license to use the Service ends and we may disable access to your Account. Sections intended to survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall continue to apply.

17. Changes to Service

We reserve the right to modify features, update the Platform, and change pricing from time to time. Where a change materially affects your use of the Service, we will provide reasonable notice where applicable. Continued use of the Service after a change takes effect constitutes acceptance of the change.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
