These Terms and Conditions (“Terms”) govern your access to and use of the LimaxPay platform, mobile applications, on-device agents, and related services operated by Mobilinear Systems Private Limited (“Mobilinear”, “LimaxPay”, “we”, “us”, or “our”). Please read them carefully. They form a binding legal agreement between you and Mobilinear.
By accessing or using LimaxPay services, you agree to be bound by these Terms and Conditions. If you are entering into these Terms on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to bind it. If you do not agree to these Terms, you must not access or use the Service.

You must be authorized to act on behalf of your organization and legally capable of entering into binding agreements. By accepting these Terms, you represent that you are at least 18 years of age and that the information you provide is accurate and complete.

LimaxPay is licensed, not sold. Access is provided on a subscription basis. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes during your Subscription term.

The Service enables Customers to configure and apply device restrictions, locking, on-screen messaging, and recovery actions on enrolled Devices.
Customers are solely responsible for determining when and how device restrictions, locking, or recovery actions are applied. LimaxPay acts only on instructions and policies configured by the Customer. We do not independently initiate device actions and do not assess the legality, fairness, or appropriateness of any action you configure. You are responsible for ensuring that every action taken through the Service is lawful and consistent with your agreements with end users.

You agree that LimaxPay is a technology provider and is not a party to your financing, lending, or customer relationships.
Our collection and use of personal data in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to the practices described there.
Unless otherwise agreed in writing, fees are non-refundable. Failure to pay fees when due may result in suspension or termination of the Service.
We strive for high availability but do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service may be temporarily unavailable due to scheduled maintenance, updates, or factors beyond our reasonable control. Where practical, we will provide advance notice of planned downtime.
The Service may rely on or integrate with third-party services, including but not limited to Firebase and Google services, payment gateways, and email or messaging providers. Your use of those services may be subject to their own terms. We are not responsible for the availability, performance, acts, or omissions of any third-party service, including outages or changes outside our control.
All software, trademarks, content, data models, algorithms, documentation, and technology comprising the Service remain the exclusive property of Mobilinear Systems and its licensors. These Terms do not grant you any ownership rights. You may not copy, modify, distribute, sublicense, resell, or white-label any part of the Service without our prior written consent.
To the maximum extent permitted by law, Mobilinear Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of:
Our total aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you to LimaxPay in the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Mobilinear Systems, its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Upon termination, your license to use the Service ends and we may disable access to your Account. Sections intended to survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall continue to apply.
We reserve the right to modify features, update the Platform, and change pricing from time to time. Where a change materially affects your use of the Service, we will provide reasonable notice where applicable. Continued use of the Service after a change takes effect constitutes acceptance of the change.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
